The Company shall indemnify the Director, if the Director was or is a party or is threatened to be made a party to any threatened, pending or completed action, suit or proceeding, whether civil, criminal, administrative or investigative (other than an action by or in the right of the Company) by reason of the fact that he is or was a director, officer, employee or agent of the Company or any subsidiary thereof ("ABC "), or is or was serving at the request of ABC as a director, officer, employee or agent of another corporation, partnership, joint venture, trust or other enterprise against expenses (including attorneys’ fees), judgments, fines and amounts paid in settlement actually and reasonably incurred by him in connection with such action, suit or proceeding if he acted in good faith and in a manner he reasonably believed to be in or not opposed to the best interests of ABC, and, with respect to any criminal action or proceeding, had no reasonable cause to believe his conduct was unlawful.

たとえば、「whether civil, criminal, administrative or investigative」の部分は、「取締役が」の前に入れるか後に入れるか。これには決まりはありません。出来上がった訳文を最初から声を出して読んでみて、流れやリズムがすっきりしていれば良いのです。ただし原則として、主語と述語はとんでもなく離れてしまわないようにするほうが良いと思います。でなければ、訳文を読んでいるうちに、「あれ、何の話だったっけ?」という感じになってしまうこともあるからです。

文章の中に、(i), (ii), (iii)、あるいは(a),(b), (c)、などを用いている場合、そういった箇条書きの部分を独立させることができます。


The foregoing obligation of non-use and non-disclosure shall not apply to any portion of the Confidential Information which (i) is or shall have been known to the receiving Party before receipt thereof, (ii) is disclosed to the receiving Party by a third party having no obligation of confidentiality to the disclosing Party, or (iii) is or shall have become known to the public through no fault of the Receiving Party.


前述の不使用および非開示の義務は、次の(i)~(iii)のいずれかに該当する本件機密情報のいかなる部分にも適用されないものとする。(i)受領側当事者が既に知っている、またはこれを受領する前に知ることになる。(ii) 開示側当事者に対して守秘義務を負わない第三者によって受領側当事者に開示されたもの。(iii) 受領側当事者の過失に起因せず、公知のものである、または公知となるもの。

箇条書きの要素が and で結ばれているか、or で結ばれているかに注意しましょう。上記の例文では or になっていますので、(i)から(iii)のうちいずれかに該当する場合、となりますが、これがもしもand であれば、(i)から(iii)のすべてに該当する場合、になります。




Force Majeure.
Neither party shall be deemed in default or be held responsible for any cessation, interruption or delay in the performance of its obligations hereunder due to any event or circumstance beyond its reasonable control, including but not limited to, earthquake, flood, fire, storm, natural disaster, act of God, war, terrorist action, labor strike, lockout, and boycott, provided that the party relying upon this Agreement shall (i) have given the other party written notice thereof promptly and, in any event, within five (5) days of discovery thereof and (ii) shall take all reasonable steps reasonably necessary under the circumstances to mitigate the effects of the force majeure event upon which such notice is based.
